Who sees what you upload? Does it get used to train the model? What happens if a client finds out their due diligence materials went through a third-party AI? These aren't paranoid questions. They're the right ones.

Some retain conversation history. Beyond those two things, ask any vendor you're evaluating whether they'll sign a data processing agreement. A DPA is what makes the vendor's data commitments enforceable: what gets processed, how it's protected, who can access it, and what happens if something goes wrong. Consumer tools don't offer this. Enterprise platforms built for professional use do.

SOC 2 Type II certification is the other thing worth verifying. It's an independent audit of a vendor's security controls. It doesn't guarantee anything, but it means someone outside the company has examined those controls and documented what they found. For law firms, it's a reasonable baseline to require.

Encryption in transit and at rest is table stakes, but worth confirming explicitly rather than assuming.

AI and attorney-client privilege

Confidentiality and privilege are related, but they're not the same thing.

How to evaluate AI security for your firm

When assessing any AI tool for legal work, start with how it handles your data. Does the platform use uploaded content to train its models? Deletion policies vary significantly across vendors, and the answer matters more than most firms realize.

Access controls are the next thing to nail down. Can you segment data by client, matter, or practice group? Does the platform integrate with your existing identity management, or are you standing up a separate permission system alongside it?

On the contract side, ask for three things: 

  1. A signed DPA

  2. SOC 2 Type II certification

  3. Documented incident response policy.

If a vendor can't produce all three, that tells you what you need to know.

The most important question is often the one firms skip. Many legal AI tools are thin wrappers on a consumer model. They send your data to a third-party API and return the response. The security of that wrapper matters a lot less than the data handling terms of what's underneath it. Ask which model powers the platform and under what data processing terms, not just whether the interface looks polished.

What enterprise-grade means for law firms

“Enterprise-grade” has become a marketing phrase. It does point at something real though.

A platform built for enterprise legal work runs on dedicated infrastructure. Your matter information isn't processed alongside consumer traffic. It operates under DPAs that meet GDPR, CCPA, and the requirements most law firms carry in their own client agreements. Role-based access is built in from the start, not added after enterprise clients asked for it. There's an uptime SLA and a disaster recovery plan. If something goes wrong, there's a documented response.

The practical difference is that security was part of the design, not a retrofit.

Why this matters for the firm, not just the lawyer

Most of the conversation about AI and legal ethics focuses on individual responsibility. That's right, but it's incomplete.
