Platform Agreement
This Platform Agreement is a comprehensive terms of service governing use of August's AI-powered legal platform provided by Credicle Corporation.
1. Important Terms
This agreement defines the scope and relationship between August and users. Your use of the Service incorporates: Acceptable Use Policy, Support and Service Level Terms, Security Addendum, Data Processing Addendum, and Business Associate Addendum. August provides 15-day notice for material changes, with user termination rights if disputes arise.
Important: The Service is a research tool, and its Output is not legal advice. All outputs should be reviewed by qualified legal professionals.
2. Usage Rights
August grants non-exclusive access rights for users and affiliates. Credentials cannot be shared across organizations. Prohibited uses include: infringement, embargo violations, reverse engineering, scraping, and biometric data processing. Protected Health Information requires compliance with applicable regulations.
3. Content and Customer Data
You retain ownership of your Input and Output. Similar queries or responses to other users are not considered your Content. You retain all intellectual property rights in uploaded documents. August receives processing rights necessary to provide service, prevent technical issues, or comply with law.
4. Fees and Payments
Payment terms are set in order forms. You are responsible for taxes (except August's income, employment, and property taxes). Disputes must be raised within 30 days of invoice. Late payments are subject to the Federal Funds Rate plus 1.5% annually.
5. Term and Termination
Either party may terminate with notice. There is a 30-day cure period for material breaches. Pro-rata refunds apply for prepaid unused fees. August deletes remaining customer data within 30 days post-termination unless legally required to retain.
6. Indemnification
August defends against third-party IP infringement claims from lawful Service use. Users indemnify August for claims arising from their Input or Customer Data. Standard notice and cooperation requirements apply.
7. Warranty and Limitations
August warrants conformity with Documentation and professional delivery. THE SERVICE IS PROVIDED "AS IS." August disclaims merchantability and fitness warranties. Indirect, consequential, and punitive damages are excluded. Liability caps apply as specified in the agreement.
8. Key Protective Provisions
August will not train AI models on your Content or Customer Data. Subprocessors are prohibited from retaining data for human review (except cloud storage). Strict confidentiality obligations apply with equitable relief available. Export controls and sanctions compliance are required.
